Terms and Conditions

This Terms of Use Agreement (the "Agreement") is a legally binding agreement between YDSTK LLC, a limited liability company organized under the laws of the state of Florida ("YDSTK LLC"), and the Client, whether an individual or an entity, accessing and using YDSTK LLC's website and services at https://www.ydstk.com (the "Website") and any other related media form, channel, mobile website, or mobile application (collectively referred to as the "Platform").

By accessing and using the Website or the Platform, the Client agrees to be bound by all the terms, conditions, and obligations set forth in this Agreement. Failure to agree to and comply with these terms and obligations will result in the immediate prohibition of the Client's use of the Website, and the Client is required to discontinue use promptly. In such a case, the relationship between the Client and YDSTK LLC shall cease to exist, except that the Client remains obligated to pay YDSTK LLC for any services rendered, and such obligation shall continue until fulfilled.

Services Provided

YDSTK LLC provides fractional marketing and design support services including but not limited to: visual design, UI/UX design, web design, social media content, email campaigns, branding, and related creative services. Services are provided on either a per-project basis with defined scope and deliverables, or through fractional arrangements for ongoing support with a flat monthly fee. If the Client requests work outside the agreed scope, YDSTK LLC will notify the Client and may adjust scope and budget as mutually agreed upon.

Ownership of Materials and Portfolio Rights

All design and original source files created on the Client's behalf ("Projects") shall belong to the Client. The Client shall be the sole owner of the copyright for all Projects. In the event that any legal provision would transfer ownership of a Project, in whole or in part, to YDSTK LLC instead of the Client, YDSTK LLC hereby irrevocably and perpetually assigns its entire interest in the Project to the Client without limitation.

However, the Client hereby grants YDSTK LLC a perpetual, irrevocable, non-exclusive, royalty-free license to use, display, and reproduce the Projects for the following purposes: (a) portfolio display on YDSTK LLC's website and social media; (b) case studies and marketing materials; (c) displaying the Client's logo and company name in connection with such portfolio use. This license shall survive termination of this Agreement.

The Client warrants that any materials provided to YDSTK LLC as examples or to be incorporated into a project during the design process are owned by the Client and do not infringe upon or misappropriate any third party's rights, including but not limited to intellectual property rights and rights of publicity.

Intellectual Property Rights

Unless explicitly stated otherwise, the ownership of the Website belongs to YDSTK LLC. All elements of the Website, including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in any format (collectively referred to as the "Content"), as well as the trademarks, service marks, and logos (collectively referred to as the "Marks"), are owned and controlled by YDSTK LLC. These assets are protected by copyright, trademark laws, and other applicable intellectual property laws and regulations of the United States, foreign jurisdictions, and international conventions. The Content and Marks are provided on an "As-Is" basis, intended solely for your personal information and use. Except as expressly permitted herein, no part of the Website, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without the prior express written permission of YDSTK LLC. All rights in the Website, Content, and Marks are reserved by YDSTK LLC.

Cooperation

YDSTK LLC shall use best efforts in the performance of obligations under this Agreement. The Client shall provide such access to its information and property as may be reasonably required in order to permit YDSTK LLC to perform the obligations hereunder. YDSTK LLC shall cooperate with the Client's personnel, shall not interfere with the conduct of the Client's business and shall observe all rules, regulations and security requirements of the Client concerning the safety of persons and property.

Payments and Billing

For Fractional Services: Services are provided on a monthly fractional basis for a flat monthly fee. The Client will be charged immediately upon agreement, and then every 30 days thereafter on the same date. By engaging fractional services, you acknowledge and agree that your fractional arrangement will automatically renew every 30 days. Your payment method will be charged on a recurring basis until you cancel your fractional arrangement.

For Per-Project Services: Services are provided on a project basis with payment terms specified in the individual invoice and/or statement of work. Payment schedules may include upfront deposits, milestone payments, or payment upon completion as agreed upon for each specific project.

Additional Costs

The Client acknowledges and agrees that they may be responsible for additional costs associated with their Projects, such as but not limited to premium stock images, custom illustrations, digital assets, third-party font licenses, or specialized software tools required for the completion of the Project. These additional costs will only be incurred with the Client's prior written approval or within a pre-approved budget amount specified by the Client. YDSTK LLC will communicate all such costs to the Client in writing and obtain approval prior to any purchase or commitment. The Client shall bear the responsibility for making the necessary arrangements and payments for these additional costs, separate from the monthly fractional fee or project fee charged by YDSTK LLC. The Client assumes full responsibility for any consequences arising from their failure to purchase the necessary licenses for any third-party fonts, images, or any other digital asset that is incorporated into a Project.
